Bauer Media acquires UK fishing event The Big One

Bauer Media GroupThe Bauer Media Group has acquired the UK’s biggest fishing show, The Big One. The terms of the transaction were not disclosed.

The Big One is held annually each spring in Farnborough and attracts almost 20,000 enthusiastic anglers. The acquisition complements and strengthens Bauer’s angling media business which already interacts with 600,000 anglers each month through its portfolio of magazines, digital editions, social media and websites.

The Big One will form part of Bauer’s growing specialist events portfolio, which includes the London Motorcycle Show, the MCN Festival and Your Horse Live, already attended by over 100,000 visitors each year.

Vince Davies, who launched and owns the event, will continue to work for Bauer as Event Director, building on the great success he has had growing the show since it launched.

Clarion Events completes merger with Global Sources

ClarionLondon-based Clarion Events, one of the world’s leading independent events organisers, has completed a merger with Global Sources, a leading Asian exhibitions and online B2B marketplace operator based in Hong Kong. Funds managed by Blackstone will control the combined group. Terms of the transaction were not disclosed.

Combining both market-leaders will create one of the largest privately-owned exhibitions businesses globally, with substantial scale across Asia, Europe and North America, organising 200 events per year and generating more than £300m of Revenues. The combined group will be led by the existing Clarion management team under Chief Executive Officer Russell Wilcox and Chairman Simon Kimble. The new group will continue to operate under the name Clarion Events, with the Global Sources brand identity retained in the Asian region.

Commenting on the announcement, Russell Wilcox, CEO of Clarion Events, said: “This merger marks an important milestone for both companies as we embark on an exciting new chapter. IMG acquires Exhibitions International

IMGIMG, subsidiary of US talent agency Endeavor, has acquired the global museum exhibition producer Exhibitions International, as well as its portfolio of events including King Tut: Treasures of the Golden Pharaoh (on which the two companies had previously collaborated), Pompeii: The Exhibition and Mummies of the World.

Under the terms of the acquisition, Exhibitions International will sit within IMG’s events division with arts and entertainment. Furthermore, John Norman, Exhibitions International’s founder and president, will become managing director of exhibitions for IMG Events. Norman’s team will also join IMG Events. Financial details of the transaction were not disclosed.

CloserStill acquires Online Educa Berlin

CloserStillCloserStill Media is to acquire Online Educa Berlin, a cross-sector conference on technology-

supported learning and training, from ICWE GMbH for an undisclosed sum. The terms of the deal were not disclosed.

Founded in Berlin, Germany in 1995, OEB is an annual international conference on technology-supported learning and training (e-learning), welcoming over 2,000 delegates from across the corporate, education and public sectors, and including an exhibition featuring more than 80 international Edtech companies and institutions.

The acquisition will complement CloserStill’s existing event brand, Learning Technologies, which has events in Paris and London.

Commenting on the acquisition and the launch plans for Learning Technologies Germany in 2018 alongside OEB, CloserStill’s learning group director, Mark Penton, said: “We are genuinely excited to bring the highly respected OEB event into our family of market-leading events and to work with its founder Rebecca Stromeyer.

“We see a significant opportunity to evolve OEB into one of Europe’s most important learning events with the introduction of our Learning Technologies brand into the heart of the European marketplace.”

Euromoney revenues for the fourth quarter increase by 9%

Euromoney logoEuromoney Institutional Investor PLC, the international online information and events group, has issued a pre-close trading update ahead of the announcement of its results for the year to September 30, 2013.

Since issuing its Interim Management Statement on July 25, 2013, trading has continued in line with the board’s expectations.  The recovery in US markets, and in particular in the profitability of US financial institutions, has continued, while European markets have remained weak and emerging markets have settled down after the uncertainty earlier in the summer.

Revenues for the fourth quarter are expected to show a headline increase of 9% on the same period last year, and an underlying increase, excluding acquisitions, of 5%.  The improvement in advertising highlighted in the July IMS has continued, with advertising revenues returning to growth for the first time in two years.  Underlying subscription revenues, excluding acquisitions, increased by 4%, helped by the reversal of timing differences from the third quarter.

Total revenues for the year to September 30, 2013 are expected to show a headline increase of approximately 2% on 2012, of which half has come from acquisitions.

Exchange rate movements have not had a significant impact on headline or underlying revenues.

The group expects to announce an adjusted profit before tax* of not less than £114 million for the year to September 30, 2013 (2012: £106.8 million) including a contribution from acquisitions, after financing costs, of nearly £2 million.

At current exchange rates, group net debt at September 30, 2013 is expected to be no more than £10 million, against £38 million at March 31.  This reflects the group’s traditionally strong second half operating cash flows as well as acquisition payments of £13m in the period.

The year end results will be announced on November 14, 2013.

ITE Group plc – Interim Management Statement for the period April to July 2013

ITEITE Group plc today published its Interim Management Statement for the period from 1 April 2013 to 15 July 2013, incorporating the Group’s third quarter trading period from 1 April 2013 to 30 June 2013.

The statement follows:

Trading Performance

Good trading conditions continue in our core markets and the Group is trading in-line with management expectations. Revenues in the three month period to 30 June 2013 were £95m (2012: £76m). This year’s result includes a contribution from the biennial Moscow International Oil & Gas exhibition along with a first time contribution from Metaltech in Kuala Lumpur, Mayalsia, which the Group acquired in January 2013. On a like-for-like basis revenues for the third quarter were 8% higher than the previous year.

The principal trading highlights in the third quarter were:

·    Mosbuild, the Group’s principal Moscow construction event continued to prove its resilience in the face of continuing competition and grew volumes by 4% to 68,500 sqm.

·    Moscow International Oil & Gas exhibition, performed strongly with volumes up (since the 2011 event) by over 5% to 24,000 sqm (2011: 22,800 sqm).

·    Turkeybuild is the leading construction event in Turkey. The event, which is space constrained, delivered a small increase in volumes selling 36,200sqm (2012: 36,100sqm). Plans are now in place to add capacity at the venue which will provide an opportunity for the event to grow strongly from 2015 onwards.

Business development

The Group continues to execute its strategy of expanding its operations to new markets with potential for further growth. On 11 April 2013, ITE acquired 50% of ECMI based in Kuala Lumpur, Malaysia for an initial consideration of MYR 8.1m (£1.7m) and a deferred consideration of approximately MYR 4.1m (£0.9m) due in April 2014. In addition the Group holds put and call options to acquire the additional equity in 2017 and 2019. ECMI runs a number of small annual exhibitions in the Beauty and Lab technology sector in Malaysia, Vietnam and Indonesia.

Financial position

The Group had net cash of £17m as at 12 July 2013 (2012: net debt of £1.7m), after spending circa £26m on acquisitions and deferred consideration during this financial year.

Outlook

Year to date, the Group has delivered good organic growth supplemented by the continued investment in new businesses which extend the Group’s reach into new emerging markets. As at 12 July 2013, the Group had £184m of sales booked for the current financial year (this time last year: £164m), representing approximately 98% of the consensus revenue expectations for this financial year.

The Group continues to experience good trading conditions in its principal markets and the Board remains confident in the full year outcome.
