Providence acquires CloserStill Media for £340M

Providence EquityFollowing our earlier report, Providence Equity Partners has now acquired CloserStill Media, the previous owner of Clarion Events, for a reported £340 million.

The move comes after years of significant growth for the organiser, which was valued at £25 million in 2012 when Phoenix Private Equity bought into the company and £125 million in 2015 when Inflexion bought a minority stake.

Since the Inflexion investment in 2015 the organiser has made eight acquisitions – five in 2017 and three in 2018 – but CloserStill Chairman and CEO Phil Soar highlighted that the majority of the company’s growth has been organic. Much of the growth has come from the geo-cloning of successful shows in Asia, Germany and the US, with the launch of events such as Cloud Asia, Learning Technologies Germany and New York Vet.

In 2011 Providence acquired George Little Management in the US, which was then sold to Emerald Expositions in early 2014. In 2017 the company sold Clarion Events to Blackstone for a reported £600 million.

Bertram Group acquires Education Umbrella in first bolt-on acquisition under new ownership

Bertram BooksThe Bertram Group has acquired Education Umbrella, a leading supplier of books and digital learning resources, in its first strategic bolt-on acquisition under its new ownership. The terms of the transaction were not disclosed.

Bristol-based Umbrella Education provides print and digital learning resources to schools around the world. Founded in 2011, the company has launched Education Umbrella Press, a digital publishing platform and technologies including TECbook, an online eBook system which converts books from top educational publishers into digital format and TECvideo, a video-based learning tool.

Chief financial officer of Bertram Group Nicholas Goodwin said: “We are delighted to announce Bertram Group’s strategic acquisition of Education Umbrella, a company which in a short time has grown to become one of the key players in its market. CloserStill acquires Online Educa Berlin

CloserStillCloserStill Media is to acquire Online Educa Berlin, a cross-sector conference on technology-

supported learning and training, from ICWE GMbH for an undisclosed sum. The terms of the deal were not disclosed.

Founded in Berlin, Germany in 1995, OEB is an annual international conference on technology-supported learning and training (e-learning), welcoming over 2,000 delegates from across the corporate, education and public sectors, and including an exhibition featuring more than 80 international Edtech companies and institutions.

The acquisition will complement CloserStill’s existing event brand, Learning Technologies, which has events in Paris and London.

Commenting on the acquisition and the launch plans for Learning Technologies Germany in 2018 alongside OEB, CloserStill’s learning group director, Mark Penton, said: “We are genuinely excited to bring the highly respected OEB event into our family of market-leading events and to work with its founder Rebecca Stromeyer.

Rosetta Stone acquires online language company Livemocha

rosetta stoneRosetta Stone has acquired Seattle-based Livemocha, one of the world’s largest online language-learning communities, for $8.5 million in cash. Livemocha has a community of over 16 million members in 195 countries. The company  uses crowd-sourcing to drive content development and social engagement. Livemocha will remain in Seattle.

Pearson acquires online learning business EmbanetCompass for $650M

Pearson PLC has acquired EmbanetCompass from an investor group led by Technology Crossover Ventures and Knowledge Universe, for $650m in cash.

EmbanetCompass partners with leading non-profit colleges and universities in North America to provide online learning solutions for more than 100 university programmes. It provides a range of services including: programme design and development, marketing and student recruitment, faculty training and support, data-driven student retention and learning analytics; student services (counselling, tutoring, mentoring), technology support and launch funding.

Institutional services are one of the fastest growing areas of the US higher education market. Out of 6,700 degree-granting institutions in the US, approximately 175 institutions engage third-party vendors to power online programmes. Of a total post-secondary student population of 22 million, 2.5 million participate in purely online programmes with over 6 million taking at least one online course. Pearson believes the number of students learning online and the number of institutions serving those students will grow rapidly, as academic institutions seek low-risk and cost-effective ways to better serve new and existing customers by boosting student access, affordability, achievement and retention.

EmbanetCompass revenues have grown strongly in each of the last three years and are expected to be approximately $130m in 2012. The transaction is subject to a Hart-Scott-Rodino review. Pearson expects the acquisition to enhance adjusted earnings per share and to generate a return on invested capital above Pearson’s weighted average cost of capital from 2014.

Founded in 1995, with locations in Chicago, Orlando, and Toronto, EmbanetCompass has 580 employees and is headed by Steve Fireng. He will stay on as CEO of EmbanetCompass and as a senior executive at Pearson.
