1. Easyfairs acquires Pack&Move Basel
24th March 20145

Artexis Easyfairs, through its Easyfairs Switzerland GmbH subsidiary, has acquired Pack&Move Basel from MCH Messe Basel. Easyfairs plans to bring together the two trade shows Pack&Move Basel and Transport&Logistics Bern, which will be co-located with Easyfairs’ three packaging events in Zürich. The terms of the deal were not disclosed.

The new Swiss logistics event will take place annually at Messe Zürich, with the first edition on 6th & 7th May 2016, alongside the established packaging events Empack, Packaging Innovations and Label&Print.

2. Easyfairs acquires Northeral
20th March 2015

Easyfairs has acquired Northeral, organiser of Algiers based Maghreb Pharma Expo, the largest pharmaceutical technology trade show in Africa. The terms of the deal were not disclosed.

Matt Benyon, Head of UK and Global at Easyfairs, added, “We were very impressed by the rapid success of Maghreb Pharma Expo. Since its launch in 2012, it has grown to attract 167 international exhibitors and over 1600 visitors. We see great synergies in combining Northeral’s local expertise with Easyfairs’ experience in launching and geo-cloning events.”

3. Easyfairs acquires Tank Storage Magazine
10th March 2015

Easyfairs has acquired Tank Storage Magazine. The terms of the deal were not disclosed.

Tank Storage Magazine is a publication for the tank storage market, covering breaking news, market analysis, policy and regulations affecting the industry as well as new products and equipment. The print edition is sent to readers in 80 countries globally including Oiltanking, Peter Cremer, BP, Morgan Stanley, Flint Hill Resources, Macquarie and Rubis.

It is a good strategic fit for Easyfairs, which delivers a portfolio of tank storage events. These take place in the bulk liquid storage hubs and strategic ports of Abu Dhabi, Antwerp, Singapore, Hamburg and Rotterdam and include StocExpo, which the company acquired from Horseshoe Media in 2011.

4. Artexis Easyfairs acquires Dry Cargo Europe Conference & Exhibition
10th March 2015

Artexis Easyfairs has acquired the management of the Dry Bulk Conference and Exhibition from the publishers of Dry Cargo International. The terms of the deal were not disclosed.

The event will be rebranded the Dry Cargo Europe Conference and Exhibition and will open its doors to visitors on 30 September and 1 October 2015 at Ahoy Rotterdam in The Netherlands, alongside Artexis Easyfairs’ trade show for powder and bulk technologies, Solids.

5. Artexis Easyfairs acquire FACTS
29th January 2015

In late December 2014, Artexis Easyfairs reached an agreement with company Con-Fuse about the acquisition of FACTS, the comics, sci fi and anime festival in the Benelux held annually at Flanders Expo in Ghent, which is also run by Artexis Easyfairs.

Dirk Van Roy, CEO of Artexis Easyfairs Benelux said: “With FACTS, we diversify again within our events portfolio. For several years already, FACTS has experienced significant growth in a segment that is new to us. As a market leader in the organisation of ultimate meeting & market places, our aim is to increase the experience of this close-knit community even more”.

In October 2014, FACTS was organised for the 24th time. Since its inception, FACTS has developed into a successful, 2-day event of 250 exhibitors and 40,000 visitors. It is not only the oldest, but also the biggest comics, sci fi and anime festival in the Benelux.

Emmanuel, Koen, Jörgen en Stefaan will certainly continue to provide their expertise for the next 3 editions of the festival and will be cooperating closely with Artexis Easyfairs Benelux.

The cooperation will start effectively from the next edition of FACTS, which will be the 25th already. This anniversary edition will take place on 26 and 27 September 2015 at Flanders Expo in Ghent.

A Fusion Deal: Sale of 50.1% stake in Global Pacific & Partners’ worldwide conference portfolio to ITE Group plc

22 AOWFusion Corporate Partners are pleased to announce the sale on behalf of its client Global Pacific & Partners (GPP) of a 50.1% shareholding in their worldwide oil & gas event portfolio to ITE Group Plc, a major London-listed international events company with significant capacity in global oil and gas.

The portfolio of events includes GPP’s market leading Africa Oil Week (AOW) conference held in Cape Town for the last 21 years. AOW incorporates Africa Upsteam and the Africa Independence Forum, other events in the portfolio include established oil & gas events in Africa, Asia and Latin America.

ITE2The cash consideration paid on completion for 50.1% is £16 million, with put and call options in place over a maximum of ten years, to enable ITE to acquire the remainder of the shares. The overall consideration to be capped at a maximum of £50 million.

Fusion acted exclusively for the shareholders of GPP. The shareholder founders and existing organisers of the event, will remain with the portfolio for the next few years at least.

The Montgomery Group acquires AidEx

Exhibition News is reporting that The Montgomery Group has acquired AidEx, from Centaur Media. AidEx is an international event that brings together the international aid and development community. The terms of the deal were not disclosed.

The AidEx portfolio comprises two annual events; its flagship conference and exhibition in Brussels (November) and a conference in Nairobi (June).

The exhibition in 2014 attracted more than 200 exhibitors and organisations including the EU, Red Cross, UN and Oxfam, and companies offering a range of products from 4×4 vehicles to medical supplies, shelter products, logistics, short-wave radios and satellite communications.

Providence Equity acquires Clarion Events for over £200M

Providence EquityExhibition news is reporting that Clarion Events has been sold to global asset management firm Providence Equity in a deal thought to be worth just over £200 million.

ClarionThe report says Providence competed in a second round of bidding against ITE Group, Penton Media, Charterhouse Capital Partners and Carlyle Group LP. Providence are expected to invest in further acquisitions for Clarion.

ITE Group acquires transportation and logistics exhibition business Breakbulk

ITEITE Enterprises Ltd, a wholly owned subsidiary of ITE Group Plc, has acquired Breakbulk Holdco UK Ltd and its subsidiary companies from Electra backed, AXIO Data Group for up to $42 million (c.£26.8 million).

Breakbulk consists of a series of exhibitions, serving the transportation and logistics market for large scale project equipment, which are held annually in Houston, Antwerp, Shanghai, Johannesburg, Istanbul and Sao Paulo. In addition, the acquisition brings to ITE a magazine in print and digital format with expanded industry coverage along with its exhibition websites which serve the global breakbulk community.

breakbulkThe transaction is financed out of the Group’s existing cash and bank facilities and is expected to be earnings enhancing in the current financial year. Out of the total consideration of c.$42 million, $40 million was paid on completion with the balance payable once Breakbulk’s results for the period ended 31 December 2015 are available. The value of the gross assets being acquired is around $14m. The total profits generated by the assets acquired in the period ended 31 December 2013 was $2.6m. The Group anticipates that the purchase price equates to circa 8.5x expected FY15 EBITDA.

Breakbulk’s main events take place in Shanghai in March, Antwerp in April and Houston in October. Forward bookings for these 3 events for FY2015 are currently c90% of budget.

The current management team including Breakbulk’s Managing Director, Alli McEntyre will stay with the business.

Euromoney Institutional Investor completes Dealogic transaction

dealogic_logoEuromoney Institutional Investor PLC, the online information and events group, has completed the acquisition of a 15.5% equity stake in New Dealogic for £59.2 million. For the year to December 31, 2013, Dealogic achieved adjusted earnings before interest, depreciation and amortisation of $66.7 million on $152.3 million of revenues, and at that date had gross assets of $127.7 million. The transaction takes effect from December 18.

New Dealogic is a new company incorporated by The Carlyle Group to acquire Dealogic Holdings plc alongside Carlyle and Dealogic’s founders.  Euromoney’s investment in New Dealogic has been funded through the sale to New Dealogic of its interests in two businesses, Capital DATA and Capital NET, which Dealogic and Euromoney had operated jointly since the 1980s. The transaction values Euromoney’s participation in these two businesses at $85 million.

Dealogic provides data and analytics, market intelligence and capital markets software solutions to investment banks to help them manage their workflows, assist with deal origination and execution, and optimise productivity across their equity capital markets, fixed income, investment banking and research, sales and trading businesses.

POLITICO and Axel Springer acquire EUROPEAN VOICE

POLITICO, the Washington-based political news organisation, and Axel Springer, the owners of the POLITICO joint venture in Europe, have acquired EUROPEAN VOICE and will rebrand the Brussels publication as POLITICO in the spring of 2015.

The owner and publisher of the EUROPEAN VOICE, Shéhérazade Semsar-de Boisséson, will become managing director of POLITICO’s European operation, in charge of business operations. POLITICO’s European news operation will be led by Executive Editor Matthew Kaminski, a senior journalist and commentator on international affairs with The Wall Street Journal.

POLITICO’s European editorial operations will launch in spring 2015 with a website, POLITICO.EU; a weekly newspaper with circulation in Brussels; conferences and events in Brussels, Paris and Berlin; and a European edition of POLITICO Pro, a subscription-based news service covering major European policy coverage areas, such as financial services, technology, health care and energy.

Kaminski will report to POLITICO co-founder and Editor-in-Chief John F. Harris, who will be overseeing the vision and execution of POLITICO’s European newsroom in his position as chairman of the joint venture’s editorial committee. As editor in chief, Harris will be a regular presence in Brussels as the joint venture takes one of the most influential brands in American journalism to the European arena. Bill Nichols, POLITICO’s editor-at-large, will serve as the joint venture’s founding editor-at-large. Florian Eder, EU correspondent for DIE WELT, will become a managing editor. Carrie Budoff Brown, senior White House reporter for POLITICO, will become associate editor and senior reporter. POLITICO’s Gabe Brotman will oversee strategy and business development.

The EUROPEAN VOICE website, newspaper and events will all be integrated with POLITICO at the time of the spring launch. The joint venture will also take ownership of Paris-based Development Institute International (DII), France’s event promoter in the public affairs space, a business Semsar-de Boisséson co-founded in 1993. DII will continue to operate as a standalone business led by its Managing Director and co-founder Stephane Baudoin.

Semsar-de Boisséson will report to a management committee in which Axel Springer and POLITICO are equally represented.

“We see EUROPEAN VOICE, a familiar and well-respected platform in Brussels, as giving our joint venture an invaluable head start in establishing POLITICO as the new media agenda-setter at this historic moment in European politics,” said Ralph Büchi, President of Axel Springer International. “From the moment we met Shéhérazade, it was clear that her strong personality, energy and experience made her exactly the right person to lead this business.”

ITE acquires Eurasia Rail exhibition in Turkey

ITEITE Group plc, the international exhibitions group is acquiring TF Fuarcilik ve Organizasyon Anonim Sirketi (TFF) for around £8 million through its  wholly owned Turkish subsidiary, E Uluslar Arasi Fuar Tanitim Hizmetleri. As part of the transaction, TTF has acquired the Eurasia Rail exhibition from Turkel Fuarcilik Anonim Sirketi (“Turkel”), a company controlled by Mr Hasim Korhan Yazgan and Ms. Isil Yazgan.

The Eurasia Rail exhibition serves the rolling stock and railway infrastructure industries in Turkey and the surrounding region and is held each year at the IFM (World Trade Center) in Istanbul. The upcoming exhibition will be held in March 2015, marking the 5th edition of this event, which is expected to sell more than 10,000m2 net and be attended by around 20,000 professional visitors over 3 days.

ITE’s Chief Executive Officer, Russell Taylor, said, “I am pleased to welcome the Eurasia Rail exhibition into ITE’s Turkish business.
