A Fusion Deal: Euromoney acquires TowerXchange

TowerXchangeTowerXchange, the open community for thought leaders in the emerging market towers industry, has been sold to Euromoney Institutional Investor PLC.

Fusion Corporate Partners acted as corporate advisor for TowerXChange. The Fusion team was led by Piers Bearne. The terms of the deals were not disclosed.

TowerXchange is an information and events business which has become a source of information on the tower market, the infrastructure supporting the growth of the mobile telecoms market. Acquiring TowerXchange is part of Euromoney’s telecoms strategy to facilitate industry collaboration and trading in areas ranging from pricing to standards across the telecoms ecosystem. 

Commenting on the deal, Piers Bearne of Fusion said, “TowerXchange is deeply embedded in its sector, with a very strong management team. We were looking for the best partner to support the company’s geographical and product expansion, and are delighted that Euromoney are its new owners.”

Rosalind Irving, Euromoney Divisional Director responsible for its telecoms businesses, said: “TowerXchange is an excellent business which serves an increasingly important part of telecoms infrastructure. It is strategic for Euromoney because it is highly complementary to the markets served by TelCap, BroadGroup (in which we invested in March) and Layer123 (acquired in April). PensPenske Media CorporationkeMedia Corporation and its subsidiary Fairchild Media today announced the acquisition of FashInvest, the innovator in connecting the fashion-tech, fashion, retail, and branded consumer goods sectors with the finance and investment sectors. UBM acquires THE Aesthetic Show from Medical Insight

THE Aesthetic ShowUBM plc has acquired THE Aesthetic Show and its associated media properties from U.S.-based media and events company Medical Insight, Inc. The terms of the deal were not disclosed.

THE Aesthetic Show is an annual, multi-disciplinary medical exhibition and conference focused on the rapidly expanding field of aesthetic medicine. This event offers continuing medical education and training to physicians and medical professionals that specifically addresses the latest minimally invasive to non-invasive procedures and technologies.  In addition to THE Aesthetic Show, UBM has acquired THE Aesthetic Guide, which provides print and digital content to the aesthetic medical community, and The Aesthetic Academy, training events for healthcare providers.

A Fusion Deal: Green Power Global’s MIREC and AIREC Congresses sold to UBM

UBMGreen Power Global has sold MIREC (Mexico International Renewable Energy Congress) and AIREC (Argentinian International Renewable Energy Congress to UBM plc. Fusion Corporate Partners acted as corporate advisor for Green Power Global. The Fusion team was led by Paul Slight, Director at Fusion. The terms of the deals were not disclosed.

MIREC, Mexico’s largest clean energy event, runs annually and is now in its seventh year. Known for connecting international equipment and service solution providers with power generation developers, MIREC is considered the must attend event for wind and solar farm developers, corporate and industrial consumers of electricity, utilities, government and service providers.  The 2018 edition of MIREC will take place May 21-25 in Mexico City.

AIREC, Argentina’s leading annual clean energy congress and exhibition is now in its third year. At the forefront of Argentina’s renewable energy revolution, the event’s content covers the new regulatory environment in great detail and provides in-depth insight into legal and financing complexities.  The 2018 edition of AIREC will take place October 22-25 in Buenos Aires.

Comexposium acquires Euromoney’s wine exhibitions portfolio

WBWEComexposium Holding SAS, the French exhibitions has acquires Adhesion Group S.A. and its 74% stake in World Bulk Wine Exhibition, S.L. from Euromoney Institutional Investor PLC. Comexposium also completed a transaction to acquire 16% stake of World Bulk Wine Exhibition from Pomona Keepers S.L. to own a 90% stake of the event.

Adhesion Group is a Paris-based exhibitions business which Euromoney has owned for over 20 years. Its principal event, Vinisud, is the international trade fair for Mediterranean wines, the world’s leading wine region, and it attracts around 1,650 exhibitors from countries around the Mediterranean. World Bulk Wine Exhibition runs in Amsterdam each November and is the number one event for buyers of bulk wine. The deal also includes three events World Wine Meetings (one-to-one events on wine), Top Transport (one- to-one event on Transport & Logistics) and MedFEL (one-to-one event on Mediterranean Fruit & Vegetables).

ReedPOP acquires MCM Comic Con.

reedpop MCMReedPOP, a Reed Exhibitions business that organises and manages events in the pop culture world, has acquired UK based MCM Comic Con. The terms of the deal were not disclosed.

In 2017 MCM Comic Con shows run in London, Birmingham, Manchester, Glasgow, Liverpool and Belfast. The company boasted nearly 300,000 pop culture fans and cosplayers attend the events throughout the year.

“For nearly a decade I’ve watched with great admiration as the MCM brand grew in size, scale and quality, as well as in the hearts and minds of UK fans. MCM Comic Con was co-founded by Bryan Cooney premiering the show in 2002 as the London Expo. In 2004, it rebranded as London MCM Expo – the ‘MCM’ standing for ‘Movies, Comics, Media’; and in 2005, it took the first steps that would change it from a collectors’ and autograph event into a comic con, with the addition of dedicated comics and anime areas plus film and TV content. More recent years saw MCM launch events across the UK.

Blackstone Acquires Clarion Events

ClarionPrivate equity firm Blackstone has acquired Clarion Events from Providence Equity Partners.

The terms of the deal were not disclosed, but it is being reported that Blackstone pre-empted the second round of an auction for Clarion by submitting a £600 million bid to Providence. Rival bidders included Cinven and Xio, the Chinese investment company.

Founded in 1947, headquartered in London and with almost 1000 employees in 13 offices worldwide, Clarion operates over 180 events and exhibitions in more than 50 countries globally across a range of vertical markets, including Retail & Home, Gaming, Defence and Security, Technology and Energy. Clarion’s best known events include The Olympia Horse Show, House & Garden Show and the Conde Nast Traveller Luxury Fair.

Providence, which acquired Clarion in 2015 for around £200 million, has an option to reinvest a portion of its proceeds from the sale into Clarion.

A Fusion Deal: Layer123 sold to Euromoney

layer123Layer123, a content and sponsorship-led events business focusing on innovation in the rapidly-evolving space of telecoms network strategy, has sold a 61% stake in the business to Euromoney. Fusion Corporate Partners acted as corporate advisor for Layer123. The Fusion team was led by Mark Eisenstadt, Director at Fusion. The terms of the deals were not disclosed. Euromoney has options to acquire the rest of the equity in Layer123 over the next few years.

EuromoneyLayer123 was launched in 2010 and offers telecoms network events specialising in knowledge exchange between technical and network strategy teams from telecoms operators, software and hardware vendors and other service providers. The main focus of the business is network innovation for carriers, including SDN (Software-Defined Networks), NFV (Network Functions Virtualization), SD-WAN (Software-Defined WAN), Security, 5G Core, Access & Transport Networking and Optical Networking.

The founders, Robert Jones and Mark Lum, will remain with the business for at least the next three years. Mark Lum is a widely respected analyst with over 30 years’ experience in carrier network markets. Robert Jones has 20 years’ experience in event organisation, founding and building some of the world’s leading telecoms networking conferences and exhibitions.

Layer123 will be managed as part of Rosalind Irving’s Telcap portfolio, further expanding Euromoney’s presence in the telecoms markets.

Centaur Media Plc sells Home Interest Business for £32 million and acquires MarketMakers for an initial consideration of £13.4 million

Centaur Media Plc is to sell its business-to-consumer division, Home Interest for £32 million to Future plc and at the same time, acquire MarketMakers Incorporated Limited, an integrated marketing services businesses, for an initial consideration of £13.4 million with a deferred earnout amount based on EBITDA performance.

The proceeds from the sale of Home Interest will be used to pay for the acquisition of MarketMakers. Therefore completion of the acquisition is conditional on completion of the sale.

MarketMakers had revenues of £11.4 million and adjusted EBITDA of £1.7 million for year ended 31 December 2016. It is ranked as the No.1 telemarketing agency in the UK by B2B Marketing and has achieved growth in revenues of 27% over the last three years.

Centaur’s Home Interest division includes Homebuilding & Renovating, Period Living and Real Homes.

The transactions help Centaur focus on becoming a B2B digital, business intelligence and events company and to reduce its reliance on print and advertising .

Mark Allen Group acquires Unity Media and Unity Exhibitions

Mark Allen Group (MAG) has acquired Kent-based Unity Media Plc and its sister company, Unity Exhibitions Ltd.  The terms of the deal were not disclosed.

Unity Media publishes a number of brands in the built environment. They include: Roofing, Cladding & Insulation (RCI), Glass & Glazing, Heating & Plumbing Monthly, Building Products and Your Build. 

Unity Exhibitions Ltd organises the annual RCI Show, to be next held in November at the Ricoh Arena in Coventry.

This is the second acquisition MAG has made this year and follows the purchase two months ago of the special educational needs’ exhibition, TES SEN Show, from TES Global Ltd.

Unity Media, which was set up in 1995 and has been owned by Dennis and Jean Taylor, will be moving from its offices in Sevenoaks in July to MAG’s Dartford base.

Mark Allen, the Chairman of MAG said: “Like me, Dennis is a member of the Stationers’ Company that represents publishing, print and packaging and we got to know one another over a dinner at Stationers’ Hall. When he told me that his business-to-business brands would be up for sale, I was immediately interested. Dennis is a decent and honourable man so agreement was easy. We trust one another so we did not even sign an NDA.
