Future plc acquires SmartBrief for USD 45M

Future plc logoFuture plc has acquired SmartBrief Inc., a US-based digital media publisher of targeted business news and information for USD 45 million. The initial amount will include a cash consideration of USD 32.2 million funded from the Group’s existing debt facilities, with a further USD 12.8 million to be satisfied through the issue to the vendors of 1,027,492 new ordinary shares. The agreement also includes a deferred consideration based on certain financial targets achieved over the year ending 31 July 2020, which is subject to a cap of USD 20 million.

Leveraging proprietary technology and editorial expertise, SmartBrief delivers relevant industry news in partnership with trade associations, professional societies and corporations. SmartBrief owns a database of over 5.8 million subscribers made up of senior executives, thought leaders and industry professionals.

Founded in 1999 and based in Washington DC, SmartBrief creates and distributes more than 250 digital newsletters, allowing advertisers to target and engage with decision-makers and influencers across multiple sectors including food and travel, business, education, finance, health care, retail, tech, marketing and advertising. During 2018 Future extended its successful consumer strategy into B2B through the acquisition of NewBay Media in the US, which enabled Future to access the B2B market with several market-leading titles.

Mediahuis to acquire Irish newspaper group INM for GBP 125.7M

MediahuisEuropean media group Mediahuis has agreed to buy Ireland’s largest newspaper group, Independent News & Media, for GBP 125.7 million in its first major deal outside Belgium and the Netherlands. Under the terms of the acquisition, INM shareholders will receive 10.5 cents (9p) per share.

INM publishes the Irish Independent, the Sunday Independent, the Sunday World, The Herald, the Belfast Telegraph and other regional newspapers, accounting for more than 50% of the daily market and over 65% of the Sunday market in the Republic of Ireland.

Privately-owned Mediahuis, which sells more than 1.4 million newspapers a day in The Netherlands and Belgium including the De Telegraaf and De Standaard titles, said it saw a big potential in improving the Irish company’s online business. Founded in 2013, Mediahuis has grown rapidly through acquisitions and has a track record of combining innovative journalism with digital subscription services and paywalls.

Mediahuis chairman Thomas Leysen said, “We have the resources and the capabilities to further the digital transformation and enhance the digital capabilities of INM. We think it’s a good match”.

New Media Investment GroupNew Media Investment Group Inc., one of the largest publishers of locally based print and online media in the United States as measured by number of publications, has agreed to acquire the newspapers and related assets of Schurz Communications, Inc. for $30.0 million.

Salesforce founder Marc Benioff to acquire Time Magazine for $190M

Time MagazineBillionaire and co-founder of Salesforce.com, Marc Benioff – along with his wife, Lynne Benioff – are to buy Time Magazine for an estimated $190 million in cash, just eight months after it was sold to Meredith Corporation. The deal could close within one month, but it must first get regulatory approval.

The Benioffs, who are purchasing the magazine personally in a the deal unrelated to Salesforce, will not be involved in the day-to-day operations or journalistic decisions, which will continue to be led by TIME’s current executive leadership team.

Meredith completed its purchase of Time at the end of January 2018. Soon after its completion, Meredith said it was selling Time’s news and sports brands to focus on other brands that served its core target audience: American women.

Benioff recently tweeted, “The power of Time has always been in its unique storytelling of the people & issues that affect us all & connect us all. A treasure trove of our history & culture. We have deep respect for their organization & honored to be stewards of this iconic brand”.

Time Editor-in-Chief Edward Felsenthal said, “On behalf of the entire TIME team, we are very excited to begin this next chapter in our history. We can’t imagine better stewards for TIME than Marc and Lynne Benioff.”

Digital First Media acquires the Boston Herald for $11.9M

Digital First MediaDigital First Media, one of the largest publishers of locally based print and online media in the United States, has completed the acquisition of the Boston Herald for $11.9 million at an auction in which they outbid competitors GateHouse Media and Florida private equity firm Revolution Capital Group. The auction followed Herald publisher Patrick Purcell filing for Chapter 11 bankruptcy in December 2017, citing declining revenue and readership.

Established in 1846 as a single two-sided sheet of news published by a group of Boston printers, the Boston Herald today has a circulation of 64,500, with an online following at BostonHerald.com.
